Terms of Use

The rules for using DiligensHub, our website and our status page.

Last updated October 22, 2026

1.About These Terms

These terms apply to anyone who uses the DiligensHub service, our website or our status page. DiligensHub is operated by DiligensHub LLC ("DiligensHub", "we", "us").

By using DiligensHub, you agree to these terms. If you use it for an organization, you confirm you may accept them for that organization.

Organizations that buy DiligensHub sign an agreement with us. We call them customers. A customer's signed agreement governs its subscription. Where it conflicts with these terms, the agreement wins.

Our Privacy Policy explains how we handle personal information.

2.Accounts and Access

  • There is no public sign-up. People join when an organization or a deal room invites them.
  • Each account belongs to one person. Don't share it, your password, your backup codes or your sign-in links.
  • Keep your sign-in details safe. Tell us at once if you think someone else has used your account.
  • You are responsible for what happens under your account.
  • A room's administrators decide who may enter, what each person sees and when access ends.

3.Customer Content

  • Customers own what they and their users upload. We claim no ownership of it.
  • Customers let us store, process and display their content only to provide the service. That includes AI review, where it is on.
  • Customers are responsible for their content, and for having the right to share it.
  • Customers decide who they invite to a room, and with what access.
  • We treat content in a data room as confidential. We access it only to run the service, to help when asked, or when the law requires.

4.If You Are Invited to a Data Room

  • The organization running the room controls it, and decides what you may do with its documents.
  • Your agreements with that organization, such as a confidentiality agreement, still apply.
  • What you do in a room is recorded and shown to its administrators, including what you view and download.
  • Documents may carry a watermark with your name, email address and the time.
  • Use what you see only for the purpose the room's owner allows.

5.Acceptable Use

You must not:

  • Break the law, or infringe anyone's rights.
  • Upload malware, or anything you have no right to share.
  • Get around permissions, watermarks, view-only settings, DRM or any other protection.
  • Access rooms, accounts or data you were not given access to.
  • Probe, scan or test DiligensHub's security without our written permission.
  • Overload the service, or copy it with bots or scrapers.
  • Copy, resell or reverse engineer the service, except where the law allows.

To report a vulnerability, email security@diligenshub.com.

6.AI Features

  • AI review and the AI Assistant help people find and read information. They can be wrong or incomplete.
  • Check AI results against the source documents before relying on them.
  • AI results are not legal, financial, tax or accounting advice.
  • Deal owners can switch AI off for a deal.

7.Beta Features

Some features are labeled Beta, such as legal clause detection. They may change or be withdrawn, and may not always work as expected.

8.Availability and Support

  • We work to keep DiligensHub available, but we can't promise it will be uninterrupted or error-free.
  • We may pause the service for maintenance. Where we can, we announce it on our status page first.
  • Service levels apply only where a customer's signed agreement sets them.
  • We improve DiligensHub over time, so features may change.
  • For help, see our Support page or email support@diligenshub.com.

9.Fees

Fees are set out in each customer's order or agreement. People invited to a room pay nothing to use it.

10.Suspension and Ending Access

  • We may suspend or end access that breaks these terms, puts others at risk, or must end by law.
  • Where we can, we will tell you before we do.
  • A room's administrators can end your access to their room at any time.
  • Customers can download their files before their subscription ends.
  • After it ends, we handle customer content as the customer's agreement says.

11.Our Intellectual Property

DiligensHub's software, design and brand belong to us or our licensors. These terms give you no rights to them beyond using the service. If you send us feedback, we may use it freely.

12.Disclaimers

We provide DiligensHub "as is" and "as available". As far as the law allows, we disclaim all implied warranties. These include merchantability, fitness for a particular purpose and non-infringement.

13.Limitation of Liability

As far as the law allows, we are not liable for indirect, incidental, special or consequential losses. These include lost profits, revenue, data or goodwill.

Our total liability for all claims is limited to the greater of two amounts. One is what you paid us for the service in the 12 months before the claim. The other is US$100.

Nothing in these terms limits liability that the law does not allow us to limit.

14.Your Responsibility for Claims

Someone may bring a claim against us because of your content, or your breach of these terms. If so, you will cover our reasonable losses and costs.

15.Governing Law

These terms are governed by the laws of California. Disputes go to the courts of Riverside County, California, unless a customer's signed agreement says otherwise.

16.Changes to These Terms

We may update these terms. We will post the new version here, with a new date. If a change is significant, we will give notice before it takes effect. Using DiligensHub after that means you accept the new terms.
