How Is a Data Room Different From Google Drive?
Google Drive is built for a team to create and share files together. A data room is built for showing files to outsiders, with control set party by party.
File sharing tools start from collaboration. People edit together, comment and share a link. Access is set file by file, folder by folder, or link by link.
A data room starts from disclosure. Several outside parties read the same documents, and each must see only its share. Each one's reading is recorded, and its questions go into one log.
Both are useful. The question is which job you are doing. Drafting a document with your advisors is collaboration. Showing it to five bidders is disclosure.
How Do Google Drive, Dropbox and SharePoint Compare With a Data Room?
All three can restrict downloads and record some activity on business plans. Bidder groups, Q&A and index numbers aren't built in, and per-viewer watermarks need extra Microsoft tools.
| Capability | Google Drive | Dropbox | SharePoint and OneDrive | DiligensHub |
|---|---|---|---|---|
| View without download | Built in: owners can stop viewers downloading, printing and copying (Google) | On paid plans: downloads can be disabled on a shared link (Dropbox) | Built in for work or school accounts: Block download on view-only links (Microsoft) | Built in: six viewing levels per folder, including view only |
| Per-viewer watermarks | Not built in: a Docs watermark is the same on every reader's copy (Google) | Not built in: the owner watermarks a copy of an image or PDF (Dropbox) | With Purview sensitivity labels that encrypt: the viewer's email on each page (Microsoft) | Built in: name, email and time on every page viewed |

Is Dropbox Enough for Due Diligence?
Dropbox can share view-only links with expiry dates on paid plans. It has no bidder groups, Q&A log or per-viewer watermarks built in.
Dropbox's help is candid about the limits of view-only links. It says disabling downloads doesn't stop people saving content by other methods. That is true of any screen, which is why data rooms stamp each page with the reader's name.
Dropbox's watermark tool works differently. The owner adds a watermark to an image or PDF, and saves a copy or replaces the original. Every reader of that copy sees the same mark.
Dropbox suits sharing a handful of files with one trusted party. A sale with several bidders needs more than links.
What Does a Data Room Add Beyond Permissions?
A data room is organized around the deal's timetable, not just around files. It handles rounds, questions, updates and the record at the end.
- Rounds. Folders open to the bidders who remain, at the stage you choose.
- Questions. Every question and answer sits in one log, linked to the documents.
- Updates. Readers see which files are new or changed since their last visit.
- Bulk downloads. Allowed parties download whole folders, with the index included.
- Review. Some rooms, DiligensHub among them, check each document with AI as it arrives.
- The record. At closing, the activity record and Q&A log export for the deal file.
File sharing tools can do parts of this with add-ons and care. A data room does it by default, set up by the deal team rather than IT.
How Do You Move From File Sharing to a Data Room?
Keep your folder structure, upload it whole, then set access by group. Do it before any outside party is invited.
- 1.Tidy the folders in your current tool first. Remove drafts and duplicates.
- 2.Download the folders, keeping their structure.
- 3.Upload the whole tree into the data room, so the structure carries over.
- 4.Check the index numbers, and fix the order before anyone cites them.
- 5.Create a group for each party, set each folder's access, then invite.
Then stop sharing deal documents through the old tool, so there is one source of truth.
When Is File Sharing Enough?
File sharing is enough when few parties are involved, they are trusted, and the documents are not highly sensitive.
- Early conversations with one investor
- Sharing drafts with your own lawyers and accountants
- A few documents for a single counterparty you know well
- Internal preparation before a data room opens
Any of these can grow into a process with several parties. When it does, move the documents into a room before invitations go out.
When Do You Need a Data Room?
Use a data room when several outside parties review, or when they compete. Use one too when you need a record of who saw what.
- A sale with several bidders, each kept apart from the others
- Documents with customer prices, salaries or legal disputes in them
- Access that must open in stages, round by round
- Questions from many parties that need one consistent log
- A record of what was disclosed, in case anyone asks later

Questions
- Can I use Google Drive as a data room?
- For a small, friendly deal, yes. On work accounts, Drive can stop downloads and set access end dates. It has no bidder groups, Q&A log or per-viewer watermarks built in, so a contested sale needs more.
- Is SharePoint a virtual data room?
- Not by design. SharePoint is a collaboration platform. With Microsoft's compliance tools it gains blocked downloads, dynamic watermarks, audit search and separated user groups. Each needs its own setup.
- Do file sharing tools log who viewed a document?
- Partly, depending on the plan. Google's Activity dashboard covers work and school accounts, and viewers can hide their views. Dropbox gives file-level activity on higher team plans. Microsoft Purview Audit records SharePoint activity.
