A Virtual Data Room for Law Firms

DiligensHub is a virtual data room for law firms running legal due diligence. Every agreement keeps its versions, its views and its comments in one place. Counsel see exactly who read what, and when.

Versions

Every Draft Numbered, Every Earlier One Kept

Upload a new version of an agreement and it becomes v2, v3 and so on. Earlier versions stay listed with who uploaded each and when, and stay downloadable. Other parties see Updated (v3) the next time they look.

  • Numbered versions, each with its uploader and date
  • Updated (v3) shown to each person who hasn't seen the change
  • Two current "final" versions of one agreement, flagged in Signals
  • Gaps in a chain of amendments, flagged in Signals

Views and downloads

Know Who Opened an Agreement, and for How Long

Each file shows its views, readers, reading time and downloads. The activity feed records every view, download, upload and change, with who and when. No one can edit or delete an entry from the app.

  • Views, people, reading time and downloads for each file
  • Name, email and time stamped on every page viewed
  • Folders that can be read but not downloaded
  • DRM for a deal: a key per file, and copies you can revoke

DRM is off until you switch it on for a deal.

Clauses and discussions

Clause Flags, and Comments on the Passage Itself

The legal clause check is in Beta. It flags missing or unusual confidentiality, change-of-control and termination terms. It also flags uncapped indemnity, unlimited liability, personal guarantees, exclusivity and most-favoured-nation terms.

  • Each clause flag tied to its page
  • Litigation, notices of default and regulatory action caught by the red-flag check
  • Discussions on a file or a highlighted passage
  • Each discussion shared with only you, your firm, or the deal team

Discussions are on for new deals, and can be switched off per deal.

Questions Lawyers Ask About Data Rooms

What should a law firm look for in a data room?
Look for version history, a record of every view, and control over downloads. DiligensHub numbers every version and keeps the earlier ones. It logs who opened each file and for how long. Folders can be read without being downloaded, and every page carries the reader's name.
Does the AI clause check replace a lawyer's review?
No. The legal clause check is in Beta, and it points your team to clauses worth reading. Each flag shows the page it came from, so a lawyer checks it in context. It covers confidentiality, change of control, termination, indemnity, liability, guarantees, exclusivity and most-favoured-nation terms.
Can we comment on a contract without the other side seeing?
Yes. Discussions sit on a file or a highlighted passage. Each one is shared with only you, your firm, or the whole deal team. Discussions are on for new deals. Each permission set in use needs a visibility scope before they can run.
Can a downloaded document be revoked?
Yes, with DRM on for the deal. Downloads become protected copies that check access each time they're opened, and you can revoke them. Files are also encrypted at rest with a key per file. DRM is off until you switch it on. It can't stop someone photographing a screen.
Can activity entries be edited or deleted?
No, not from the app. Every view, download, upload, change and sign-in is recorded with who did it and when. Nothing in DiligensHub lets a user edit or delete an entry. Export the activity record to CSV whenever the file needs it.
