A Virtual Data Room for Corporate Development

DiligensHub is a corporate development data room for in-house teams buying and selling businesses. Run several deals at once from one dashboard. Colleagues sign in the way they already do, through your company's single sign-on.

Several deals at once

Every Live Deal on One Screen

Acquisitions and divestitures each get a room of their own. The dashboard lists them with status, members, files and latest activity. Each room has its own members, so a colleague on one deal doesn't see the next.

  • Seven deal types, from M&A buy-side to real estate
  • Each room at its own web address
  • Organization admins can't open a deal's documents unless they're added to it
  • Your company's own folder, request list and permission set templates

Access and sign-in

Access That Follows Your Company's Rules

Each person has one account, and gets access deal by deal. Two-step sign-in uses an authenticator app, with backup codes. Require it for your whole organization, or for one deal.

  • Single sign-on with SAML 2.0 or OIDC
  • Access that stops on the date you choose
  • End a person's sessions at once when their role changes
  • Update many users' access in one step

Assistant and checklist

Get Answers From the Target's Documents

Ask the Assistant a plain question, such as "What was EBITDA in each of the last three years?" It reads the target's files and replies with a link to each page it relied on. Colleagues get answers only from files they're allowed to open.

  • Every answer cites its document and page
  • On for new deals; a deal owner can switch it off
  • Checklist items matched to files as they arrive
  • Checklist items closed without a supporting file, flagged in Signals

Questions In-House Deal Teams Ask

What is a corporate development data room?
It's a secure room where an in-house team shares and reviews documents for an acquisition or a sale. Each deal gets its own room, members and record. DiligensHub adds AI review of every document, and one dashboard for every deal your team runs.
Can colleagues sign in with our company's single sign-on?
Yes. DiligensHub supports single sign-on through SAML 2.0 or OIDC, set up for your organization. A colleague enters their work email and goes to your company's sign-in page. Outside parties, such as the target's team, sign in with their own account and two-step sign-in.
Can our organization's admins see every deal's documents?
No. An organization admin sees the deal on the dashboard. They can't open its documents unless someone adds them to the deal. Access to each deal is granted separately. That keeps a sensitive acquisition inside the team working on it, even from senior colleagues.
How does the AI Assistant answer questions about a target?
It searches the room, reads the relevant files and answers in plain English. Each answer cites the document and page it came from. It uses only what the person asking can see. The Assistant is on for new deals, and a deal owner can switch it off.
Can we run buy-side and sell-side deals in one organization?
Yes. Each deal is created with its type, such as M&A buy-side or sell-side, capital raise or real estate. All of them sit on one dashboard. On M&A deals, Signals adds checks of a CIM's claims, and of expected documents, against the records.
