Investment banks and M&A advisors
A Virtual Data Room for M&A Advisors and Investment Banks
DiligensHub is a virtual data room for investment banks and M&A advisors running a sale process. Run every bidder in one room, each kept apart. See who is engaged, and answer every question in one place.
Bidder confidentiality
One Room, Every Bidder, Each Kept Apart
Put each bidder in its own company group. A bidder sees your team and its own colleagues, and nobody else. That holds in the user list, activity, Q&A, notifications and Assistant answers. Preview the room as any bidder before you invite them.
- Six viewing levels per folder, set in each bidder's permission set
- Every page stamped with the viewer's name, email and the time
- A later-round folder opened to one bidder and hidden from the rest
- Access that ends on a date you set, for one bidder or a group
Engagement
Know Which Bidders Are Doing the Work
The buyer groups report shows each bidder's active members, time engaged, documents viewed and questions asked. Open one person to see which documents they read, and which pages. Use it to judge interest before the next round.
- Documents opened, time spent and pages read, per person
- Totals for each bidder's group
- Every report exportable to CSV
Q&A and updates

- Question limits
- Cap how many questions each bidder's group can ask, set in its permission set.

Questions Advisors Ask About Data Rooms
- Can bidders see each other in a data room?
- Not in DiligensHub. Each bidder sits in its own company group. It sees your team and its own people, never another bidder. That covers the user list, activity feed, Q&A, notifications and AI Assistant answers. Preview the room as any bidder to check before you invite them.
- Can I limit how many questions each bidder asks?
- Yes. Question limits are set on each permission set, so every bidder group can have its own allowance. A question over the limit isn't accepted. Assign each question by category and priority, and link the answer to its documents. The full log exports to Excel or CSV.
- How do I know which bidders are serious?
- Look at engagement by bidder. The buyer groups report shows each group's active members, time engaged, documents viewed and questions asked. Open one person to see which documents and pages they read. Every report exports to CSV for your update to the client.
- Do bidders see when documents change?
- Yes. Each person sees New on files added since their last visit, and Updated (v3) on files with a new version. One click on Download new fetches only those files. Big downloads come in checksummed parts that pick up where they stopped.
- Can the data room carry our bank's brand?
- Yes. White-label rooms carry your bank's brand. Each deal still gets its own room and web address, with its own members, status and activity. Run several mandates at once from one dashboard, and archive each room when its deal closes.
