A Virtual Data Room for Private Equity

DiligensHub is a virtual data room for private equity firms running due diligence. Use it buy-side on a target and sell-side on an exit. Every deal starts from your firm's own templates, and AI reviews each document as it arrives.

Firm templates

Start Every Deal From Your Firm's Standard

Your admins build the firm's folder structure, request list and permission sets once. Each new deal offers them at creation. A deal team starts from the house standard, not a blank room.

  • Folder templates, request list templates and permission sets owned by your firm
  • Permission sets you can assign in every deal the firm runs
  • A deal type for each room, chosen from seven
  • Access that ends on a date you set, for one person or a whole set

Buy-side

Test a Target's Numbers Before Investment Committee

Every document the target uploads is reviewed as it arrives. Signals then reads across the room. It flags growth the figures don't support, and a "no litigation" claim beside a dispute on file.

  • Eleven checks on every document, with AI review on for every new deal
  • Figures that disagree between documents, side by side with their pages
  • Earnings quality: margin swings, falling revenue, and cash that doesn't follow earnings
  • Customers or suppliers above a set share of revenue or supply

Exits and portfolio deals

Every Room on One Dashboard

Exits, add-ons and new platform deals each get their own room and web address. One dashboard lists every room, with its status, members, files and latest activity. On an exit, each bidder sees only its own group.

  • One dashboard for every deal your firm runs
  • Separate members for each room; a sign-in for one deal can't open another
  • Activity for each room, exportable to CSV
  • Archive a room at close; your deal team keeps read access

Private Equity Data Room Questions

What is a data room in private equity?
A data room in private equity is a secure website for sharing deal documents under control. Firms use one buy-side to review a target, and sell-side to run an exit. Every view is logged. DiligensHub adds AI review of each document, and Signals across the whole room.
Can we reuse our firm's folder structure on every deal?
Yes. Your firm's admins save a folder structure, a request list and permission sets as templates. Each new deal offers them at creation, beside the standard ones. Permission sets can also be offered in every deal your firm runs, so access rules match across deals.
Does the AI review the target's documents automatically?
Yes. AI review is on for every new deal, and each upload goes through 11 checks, one file at a time. Each finding shows the page it came from. A deal owner can switch review off, or turn groups of checks off. Documents are never used to train AI models.
Can we see every deal in one place?
Yes. One dashboard lists every deal your firm runs, with its status, members, files and latest activity. Each deal is still its own room, with its own web address and members. Reporting stays with each deal: you export activity from each room on its own.
What happens to the data room when the deal closes?
You archive it. Archiving locks participants out, and your deal admins keep read access to the documents and the record. Nothing archives on its own, so the room stays open until you decide. Export the activity record to CSV first, for the deal file.
