Sell-side M&A
A Sell-Side Data Room That Checks Every Document
DiligensHub is a sell-side data room for companies and advisors preparing a business for sale. Every document is checked as it's uploaded. You see what a buyer would question, before any buyer is in the room.
Vendor due diligence
Find the Problems Before a Buyer Does
Upload the room before launch, and review starts on each file at once. Missing signatures, totals that don't add up and risky clauses come back with their pages. Fix them, or prepare the answer, while the room is still yours alone.
- Eleven checks on every document, on for every new deal
- Unsigned agreements, missing dates and blank placeholders
- Personal data that shouldn't be shared, found and masked
- Findings tied to the page, so your team can check them
Signals
Catch Conflicts Between Documents
Signals compares documents with each other. It flags revenue that differs between the CIM and the accounts, and tax returns that don't match the financials. On a sell-side deal, it also checks the documents a buyer will expect are there.
- Figures that disagree, with both pages side by side
- A CIM's claims checked against the records
- Expected documents missing, such as debt agreements or insurance
- Earnings quality and customer concentration

A Room Buyers Can Work Through
- Index numbers
- Every folder and file is numbered, like 4.2.1, so a buyer's question points to one document.
- Request lists
- Paste a buyer's request list and it becomes numbered items matched to your checklist. You approve each match.
- Bidders kept apart
- Each bidder sees only your team and its own people.
- Q&A
- Questions link to a file, folder or checklist item, and answers link their evidence.
- What's new
- Each buyer sees New and Updated markers, and can download only what changed.
Q&A starts on in every new deal; a deal owner can turn it off.

Sell-Side Data Room Questions
- What is a sell-side data room?
- A sell-side data room is where a seller shares its documents with potential buyers during a sale. The seller or its advisor builds it before launch, and controls who sees what. In DiligensHub, each document is also checked by AI as it arrives, so problems surface early.
- What is vendor due diligence?
- Vendor due diligence is the seller's own review of the business before buyers start theirs. It finds the issues a buyer would raise, so the seller can fix or explain them. DiligensHub supports it by checking every uploaded document, and listing conflicts between documents in Signals.
- Can buyers see the AI findings?
- Only if you let them. Who sees AI findings is set folder by folder, in each permission set. Keep them to your own team while you fix what they found. A folder that shows names only never shows findings for its files, whatever the setting.
- Can I fix a document after buyers have seen it?
- Yes. Upload the corrected file as a new version. The earlier version stays in its history, numbered and downloadable. Each buyer who saw the old one sees Updated (v2) on their next visit. Download new then fetches only the files that changed.
- Which deal type should a sell-side room use?
- M&A sell-side, which is where the new-deal form starts. That type runs every Signals check, including CIM claims against the records and expected documents. A capital raise or real estate room runs the core checks only. You can change a deal's type later in its settings.
