Capital raising
A Data Room for Capital Raises
DiligensHub is a fundraising data room for companies and advisors raising capital from many investors. Each investor sees only its own group. Every page they read carries their name, and their access ends when you decide.
Many investors, one room
Each Investor in Its Own Group
Put each fund or family office in its own company group. Investors see your team and their own colleagues, and no other investor. One room serves the whole round, with no copies to keep in step.
- Groups kept apart in the user list, activity, Q&A and notifications
- A permission set for each investor tier, applied to many people at once
- A preview of the room as any investor, before you invite them
- Invitations that lapse after 30 days unused
Watermarks and access
Every Page Carries the Reader's Name
Choose how each folder is shared: names only, view only, or a watermarked PDF. Every page an investor views is stamped with their name, email and the time. When the round closes, end access for a whole permission set on one date.
- Six viewing levels per folder, from hidden to original
- Access expiry per person or per permission set
- DRM for the most sensitive files, off until you switch it on
- Activity entries that can't be edited or deleted in the app
Engagement
See Which Investors Are Reading
Track each investor's time in the room, the documents they opened and the pages they read. Follow up with the ones who are engaged. New-document emails tell investors when you post updated figures.
- Engagement by investor group and by person
- Each person's own email schedule: right away, hourly, daily or weekly
- New and Updated markers on each file
- A question limit for each investor tier, with answers in one place

Investor Data Room Questions
- What should go in a fundraising data room?
- Usually the pitch deck, financial statements and model, cap table, corporate documents and key contracts. Later-stage investors expect more financial and operational detail. In DiligensHub, upload them as whole folders. Each file gets an index number, and AI review checks each one as it lands.
- Can investors see who else is in the data room?
- No. Each investor sits in its own company group, and sees only your team and its own colleagues. Other investors don't appear in the user list, the activity feed, Q&A or notifications. Preview the room as any investor to confirm what they'll see.
- Can I end an investor's access after they pass?
- Yes. Remove them, or set their access to end on a date. You can set one end date for everyone on a permission set, which suits the close of a round. With DRM on for the deal, the protected copies they downloaded can be revoked too.
- Does AI review work on a capital raise?
- Yes. Every document gets the same 11 checks on upload, whatever the deal type. On a capital raise, Signals runs its core checks: document problems, room hygiene and figures that disagree between documents. The CIM and expected-document checks run on M&A deals only.
- Will investors know when we add documents?
- Yes. Each investor sees New on files added since their last visit. New-document emails list each file and link straight to it. Each person picks how often they hear from the room: right away, hourly, daily or weekly. Emails follow their own time zone.
