Debt financing

A Data Room for Debt Financing

DiligensHub is a lender data room for borrowers and arrangers running a debt financing or refinancing. Each lender sees only its own group. Every document is checked for defaults, deadlines and figures that don't match.

Red flags

Defaults and Deadlines, Flagged on the Page

The red-flag check reads every document for notices of default and breach, litigation and regulatory action. It lists dated obligations coming due within 90 days, and marks expired ones. Each flag shows its page and clause.

  • Agreement terms, insurance, permits and certifications, with their dates
  • Statements whose figures are more than 90 days old, marked stale
  • Demand letters, subpoenas and enforcement proceedings
  • Who sees findings, set folder by folder in each permission set

Consistent numbers

Figures That Match From One Document to the Next

Lenders test the numbers. Signals compares key figures across the room, such as revenue, EBITDA and total debt. When the management accounts and the audited statements disagree, both values show with their pages.

  • Tax returns checked against the financial statements
  • Amendments missing from a chain, flagged
  • Totals and percentages that don't add up
  • A requested period that never arrived

Lender groups and Q&A

Each Lender in Its Own Group

Put each lender in its own company group. Through separate permission sets, the lead arranger can see more folders than a participant. Lenders don't see each other, or each other's questions.

  • Question limits in each lender's permission set
  • Answers that link the documents they rely on
  • Common answers published as an FAQ
  • Engagement by lender: documents, time and pages

Lender Data Room Questions

What is a lender data room?
A lender data room is where a borrower or its arranger shares credit documents with prospective lenders. Lenders review financials, existing debt, security and key contracts under controlled access. In DiligensHub, each lender sits in its own group, and each document is checked for defaults and deadlines.
Can different lenders see different documents?
Yes. Each lender gets a permission set, and each folder has a viewing level for that set. The lead arranger can see folders a participant can't. Per-file lists allow or block named people. Lenders never see each other in the user list, activity or Q&A.
Which checks run on a debt financing deal?
All 11 document checks, and Signals' core checks. Each file is reviewed for defaults, deadlines, signatures, totals and clauses. Across documents, Signals compares figures, tax returns and amendment chains. The CIM and expected-document checks are built for M&A deals, so they don't run on a debt financing.
Can lenders' questions be capped?
Yes. Each permission set carries question limits, so every lender group gets its own allowance. Questions link to a file, folder or checklist item. Answers link their documents, and the full log exports to Excel or CSV for the closing record. Q&A is on for new deals.
Can we show lenders a record of what they received?
Yes. Every view, download and sign-in is logged with who and when. Reports show each person's documents, time and pages read, and export to CSV. Entries can't be edited or deleted from the app, so the record stays as it was written.
